Sales Terms & Conditions

General

These Sales Terms and Conditions apply to all offers and orders placed with Labbox Labware S.L. for the sale and delivery of Labbox Labware S.L products worldwide, except in Spain, Portugal, Andorra, Italy, Germany, Austria, the Benelux countries, and France. Labbox Labware S.L supplies general laboratory consumables, instruments and chemicals. Orders from private individuals will not be accepted. 

Usage of the goods

The products offered are intended exclusively for laboratory use and are reserved for professional purposes only. Labbox Labware S.L. shall not be held liable for any misuse or improper handling of its products. 

Price list

All products shall be invoiced at the applicable end-user list price less the distributor discount. Prices are quoted EXW Premià de Dalt, 08338 (Barcelona), Spain (Incoterms® 2020). The validity period of each price list shall be as stated in the respective document. Labbox reserves the right to adjust prices in the event of cost increases or other material changes in market conditions. 

Minimum order value

A minimum order value of EUR/USD 200, exluding freight costs, is requires for orders within Europe. For all other regions, a minimum order value of EUR/USD 1,000, excluding freight costs, is required. 

Payment terms

For customers within the European Union, full payment is required in advance. For customers outside the EU, payment must also be made in advance, prior to shipment. In exceptional cases, Labbox may request a down payment. Full payment must be received within seven (7) days od the payment request; failure to comply will result in the cancellation of the order. In the event of cancellation, Labbox reserves the right to retain any down payment received to cover related expenses. 

Payments by Letter of Credit or Cash Against Documents are accepted only for orders exceeding EUR/USD 5,000 (Letter of Credit) and EUR/USD 1,000 (Cash Against Documents), excluding freight costs. When partial deliveries are accepted, the due date shall be calculated based on the date of each individual shipment, rather than the completion of the entire order. Labbox reserves the right to reject new orders or cancel any outstanding shipments in cases where invoices remain unpaid.

Quotation requests and purchase order confirmation

We will only accept quotation or requests submitted in writing and including our product codes/references and quantities. 

We will only accept purchase orders that are dated, confirmed in writing, and include at least the following information: 

– Order number
– Labbox Product codes/references
– Quantities 
– Shipment details

All purchase orders will be acknowledged with an Order Acknowledgment. The order shall be considered confirmed once the Order Acknowledgment has been sent.  

Chemical products

As a general rule, chemical products are sold exclusively to distributors within Europe. If you are located outside Europe and wish to distribute Labbox chemicals, please contact our Customer Service team: customer.service@labbox.com. 

Restricted chemicals

Some chemicals are classified as restricted products, and their sale is regulated by specific legislation. These products cannot be sold in all countries. For more information, please contact our Customer Service team: customer.service@labbox.com.  

Additional costs when applicable

Additional costs shall apply when such services are requested or required.
– The issuance of a Certificate of Origin signed by the local Chamber of Commerce will be charged at EUR 60 per certificate.
– Legalization of invoices by the local Chamber of Commerce will be charged at EUR 60 per invoice.
– Any modification or rectification of a Bill of Lading or an Air Waybill after confirmation will be charged at EUR 60.
– The legalization of any other document at any Embassy, Consulate, or under the Apostille Convention will be charged according to the actual costs incurred by Labbox Labware S.L. 

Modifications, packaging, changes or order cancellation

If any modification or packaging changes occur after the goods have been prepared, a charge of 5% of the modified or cancelled amount, with a minimum fee of EUR 60, will be invoiced.

Broken, missing or non-accepted products at goods reception

We accept any claims regarding broken, missing, or non-conforming products within 15 days of receipt of the goods by the distributor. Please contact our Customer Service team and provide as much information as possible when submitting your request. 

Return of the goods

The return of goods requires our express written consent. Returned goods, when accepted, must be properly and safely packaged in their original packaging and labeling. Failure to comply with these conditions will result in non-acceptance of the return. For chemical products, Labbox will only accept returns if the containers have not been unsealed. If a container has been opened, returns will be accepted only in cases of justified discrepancies between the specifications in the catalogue and/or the product label and the measured specifications. In such cases, our Quality Department will review the matter, and based on its technical findings, the return will be either approved or rejected.
